RESOLVED that the By-Laws of The Medicine Hat Musical Theatre be amended by adding the following provisions:

2(c) Special Vote By Email

 (i)  A special vote by e-mail may be called for by any director proposing a resolution.

(ii) The president shall have the right to deny the special vote and place the resolution before the board at the next scheduled board meeting.

2(d)  Remote Attendance at Meetings

(i)  Directors may attend meetings remotely via any electronic connection allowing for an exchange of communications provided the remote attendance is approved by the board.

 3(f) In the event that a director is attending remotely, and a ballot vote is requested, that director may forward his vote directly to the chair of the meeting by e-mail, text or other confidential means and the chair of the meeting shall complete the ballot on behalf of the director attending remotely.

The purpose of the amendments are to allow for special votes by email on issues arising between board meeting, and to allow for remote attendance at board meetings by members who are not physically present at a board meeting..
